Terms of Service

IMPORTANT: By generating a session, executing a signing ceremony, or accessing this platform in any capacity, you agree to these Terms. If you are acting on behalf of an entity, you represent that you have authority to bind that entity.

1. Acceptance & Scope

These Terms of Service (“Terms”) govern access to and use of the Doc Intelligence Engine (“Service”) operated by From The Hart Trading LLC (“Company”). The Service provides cryptographic agreement session management, OTP-based identity confirmation, Ed25519 certificate signing, and IPFS-anchored audit trail capabilities.

2. Nature of the Service

2.1 Infrastructure — Not Legal Counsel

The Service provides cryptographic tooling and document hashing infrastructure. It does not constitute the provision of legal advice, legal representation, or legal opinions. No attorney-client relationship is formed by use of this Service. You are responsible for ensuring that agreements generated through this Service comply with applicable laws and that the underlying agreement terms are legally sound for your jurisdiction.

2.2 Electronic Signature Compliance

The Service is designed to facilitate electronic signatures that may qualify under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN, 15 U.S.C. Â§ 7001 et seq.) and the Uniform Electronic Transactions Act (UETA). Binding effect depends on the facts of each transaction and applicable law. Company makes no representation that any specific transaction will be legally enforceable in any jurisdiction.

2.3 IPFS Anchoring

IPFS anchoring creates a content-addressed, immutable reference to a certificate hash. It is not a legal filing, registration, notarization, or escrow service. The presence of an IPFS CID does not constitute proof of any fact other than the prior existence of that exact byte sequence.

3. User Obligations

You must not use the Service to generate fraudulent, deceptive, or illegal agreements.
You must obtain any necessary consent from other parties before including their names, identifiers, or contact information in a session.
You must not attempt to reverse-engineer, tamper with, or circumvent the cryptographic controls of the Service.
You are solely responsible for securely maintaining any signed certificates or evidence bundles you download.
You must not use the Service to send unsolicited OTPs or to harass any person.

4. Account & Session Security

Sessions are protected by time-limited OTP codes and server-side hash verification. You are responsible for protecting any session ID or OTP you receive. Company is not liable for unauthorized access resulting from your failure to protect these credentials.

5. Proprietary Infrastructure Notice

The Doc Intelligence Engine, including its Worker source code, canonical schema definitions, and cryptographic key management architecture, constitutes proprietary infrastructure of From The Hart Trading LLC. Nothing in these Terms grants you any ownership interest, license to copy, redistribute, or reverse-engineer the Service beyond what is provided to you as part of the intended user experience.

6. Service Availability

The Service is provided on an “as-is” basis without uptime guarantees. Cloudflare infrastructure may experience outages. Session data expires according to TTL settings. Company is not liable for loss of data resulting from infrastructure failures.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COMPANY’S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

8. Indemnification

You agree to indemnify, defend, and hold harmless Company and its affiliates, officers, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

9. Intellectual Property

All content, design, source code, schemas, and cryptographic architectures comprising the Service are the intellectual property of From The Hart Trading LLC. You may not reproduce or distribute them without written permission.

10. Governing Law

These Terms are governed by the laws of the State of [STATE], United States, without regard to conflict-of-laws principles. Disputes shall be resolved through binding arbitration under AAA Commercial Arbitration Rules in [CITY, STATE], except that either party may seek injunctive relief in any court of competent jurisdiction.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance. The effective date above reflects the current version.
